Coop 4 Update and further details about the General Meeting – Saturday 3 May

Dear Ripple Coop 4 Member,

We write with a further brief update and with further details about our General Meeting, taking place this Saturday. We look forward to seeing many of you there.

General Meeting

SATURDAY 3 MAY 2025, 15:00 BST

To be held online. All information, including how to join, is on our website: coop4.uk

The general meeting will discuss and vote upon four Resolutions proposed by members. After the meeting, we will provide a further update from the board and open the floor for a Q&A.

Resolutions

The resolutions to be discussed and voted upon can be found on our website, coop4.uk. Considering the significant level of activity since the resolutions were submitted, the Board have also added additional context in response to each resolution, and their recommendation in relation to your vote.

Unfortunately we do not have the facility to provide a voting opportunity before the event on this occasion.

Q&A

We will provide the opportunity to ask questions as the meeting progresses. You can also submit them in advance using the form below. We will collate similar questions into themes and will seek to answer them either during the meeting or via a future email update.

Recording

We will aim to record the meeting and make it available to members.

General Updates

Your Board continues to work hard to further the interests of members.

Contact with the Administrator, Begbies Traynor LLP

The Board had a constructive meeting with the Administrator last week and made our position clear on a number of issues. The Administrator advised that they are still in an early stage of their fact finding but must provide a report in mid-May in relation to their plans for the company.

The Administrator has advised that they are taking legal advice on the funds held by Ripple which we believe should be held in trust on behalf of Ripple Coop 4 Limited. We have asked them to provide a timescale for when this advice will be provided.

Proof of Debt Form

We have agreed with the Administrator that the Board will be permitted to provide a single proof of debt form, to cover all of our members. So, if you have not already done so, there is no need for you to complete a proof of debt form via the Begbies Traynor website.

Coops UK support

The Board have met with Coops UK who have provided helpful advice and support for addressing some of the outstanding issues we face. We are grateful for their support.

Contact from 1st Energy Limited

We note that 1st Energy Limited have contacted Ripple Energy customers with an update – we had no prior notification that this was to be sent and had not agreed its contents. Please be aware that while we have held informal conversations with 1st Energy we have not entered into any agreement with them.

In 1st Energy’s newsletter a personal email address for the Chair of Graig Fatha was provided. We would ask that you do not use this email address and delete the email as this release of personal information breaches GDPR. Should you need to contact Graig Fatha, please email [email protected].

We would like to reaffirm that the only accurate source of information about the Coop comes via our email updates and via our website.

Contacting the Board

The Board is working hard to get answers to the questions we know that members have, and to find a resolution to the current position. As we are volunteers, with our own full-time jobs, we appreciate your patience and would kindly ask that you do not contact us unless absolutely necessary. Should you need to reach us, please email [email protected].

We will be in touch soon with a further update; we also look forward to meeting many of you on Saturday at the General Meeting.

With best wishes,

Ursula, Tom, Klaus & Sam
